Pave Chiro General Terms of Service

A. The following terms and conditions apply to all Job Seekers, Employers, and other users who access or use the Site, or otherwise indicate their acceptance to this Agreement.

1. The Pave Chiro Services

Pave Chiro may make available certain job listings and other job-related contents, including links to third-party websites (such listings and other contents, “Job Listings” or “Job Ads”), through Pave Chiro’s search results or otherwise through the Site. Job Listings are created and provided by third parties over whom Pave Chiro exercises no control; you acknowledge and understand that we, Pave Chiro, have no control over Job Listings. Job Listings contained on, or linked from, the Site are indexed or posted in an automated manner. Pave Chiro does not have any obligation to screen any Job Listing, or to include any Job Listing in its search results or other listings, and may exclude or remove any Job Listing from the Site for any or no reason. We cannot confirm the accuracy or completeness of any Job Listing or other information submitted by any employer or other user, including the identity of such employer or other user. Pave Chiro assumes no responsibility, and disclaims all liability, for the content, accuracy, completeness, legality, reliability, or availability of any Job Listing. You agree that Pave Chiro may also provide search options to narrow down Job Listing search results by job location (i.e. state, region of the country), and such filters are created independently and entirely by Pave Chiro, and are not a direct reflection of the actual Job Listing. Pave Chiro is compensated by employers who post Job Ads, helping keep Pave Chiro at a low cost for jobseekers. 

1(a) Notice to Users Applying to Jobs Through Pave Chiro: If you are a Job Seeker, any resume or application information that you submit through the Site is subject to this Agreement (including Section 4 below) and to Pave Chiro’s Privacy Policy. Without limiting the foregoing, however, please note that by creating a public Pave Chiro profile through the Site, you are requesting and authorizing Pave Chiro to make available your resume to any Employer that Pave Chiro believes may have an interest in your resume. By creating or uploading a Pave Chiro profile, Pave Chiro may contact you to share Job Listings with you that match the contents of your Pave Chiro profile. In addition, when you indicate your interest in a Job Listing through Pave Chi’ro (hereinafter, all references on the Site to “Apply Now”, “Easily Apply”, “Simple Apply”, “Apply Now,Apply with Pave Chiro”, or any similar references are referred to as “PC Apply”) you are sending your resume and application information to Pave Chiro, and you are requesting and authorizing Pave Chiro to make available such application information to the applicable Employer(s) for such Job Listing(s). When you ask Pave Chiro to transmit an application or a message, including, but not limited to, a signed offer letter, to an Employer via PC Apply you understand that this is without warranty, and that Pave Chiro reserves the right to reformat such application or message. Pave Chiro does not guarantee that any Employer will receive, be notified about, access, read or respond to any such resume or application material, or that there will be no mistakes in the transmission or storage of the data. However, Pave Chiro may alert you when any of the above events occur. Pave Chiro may also send you emails from the career or hiring guides as part of its services to you. These emails may include but not be limited to, tips on improving your resume or how to use your resume effectively in the job application process, commonly asked interview questions, next steps after you have submitted an application, and how to prepare for a new job after you have been hired.

In addition, by using Pave Chiro, you agree that Pave Chiro is not responsible for the content of the Employer’s application form, messages, screener questions, testing assessments or their format or method of delivery and that Pave Chiro does not guarantee receipt of your application by the Employer, or your receipt of messages from the Employer. Please note that Pave Chiro does not choose the questions asked by Employers or decide the job qualification criteria of Employers. If you require alternative methods of screening or application you must approach the Employer directly to request such as Pave Chiro is not responsible for the Employer application process. 

By using PC Apply, you acknowledge that Employers may have instructed Pave Chiro to send out rejection notices if you have not answered the questions in a manner that the Employer so wishes, and you acknowledge that Pave Chiro has no discretion in the transmission of these rejections. When you apply to a job using the PC Apply button, Pave Chiro will attempt to send your application to the contact information provided to us by an Employer. We cannot vouch for the validity of such contact information provided to us. We also cannot vouch for the technical capabilities of any third party sites. If you do not feel comfortable sending an application or messages in this manner or having your application or messages stored on Pave Chiro, do not use the PC Apply or Pave Chiro relay functions and please send your application or messages directly to the Employer by whatever other method you so choose. Additionally, you consent to your application and any responses sent to you by the Employer (including offer letters) through Pave Chiro being processed and analyzed by Pave Chiro according to this Agreement and Pave Chiro’s Privacy Policy. Pave Chiro shall store such information regardless of whether a job vacancy has been filled. Pave Chiro may use your application materials (including public resumes) to determine whether you may be interested in a Job Listing, and Pave Chiro may reach out to you about such Job Listing. To the extent permitted by law, if you have an unpaid or outstanding invoice or account balance for any Pave Chiro product, Pave Chiro reserves the right to suspend or terminate your use of that Pave Chiro product as well as any other Pave Chiro product, including but not limited to those Pave Chiro products where you do not have an unpaid invoice or account balance. Pave Chiro may elect to apply (i) penalties for late payment as per contemporaneous US Federal Reserve interest rates plus 10% or the maximum interest rate permitted by law, whichever is lower and (ii) a statutory lump-sum indemnity for recovery cost, if provided for under applicable laws, and (iii) any reasonable expenses and attorney fees Pave Chiro incurs collecting such late payments. Pave Chiro does not guarantee the identity of an Employer or any individuals working for any Employers, and cautions Job Seekers when applying to jobs. Pave Chiro does not guarantee the validity of a job offer and cautions Job Seekers to verify the validity of a job offer before taking an adverse action regarding their current employment situations. Job Seekers are solely responsible for verifying the accuracy of any Employer or job offer.

1(b) If you are an Employer, when you create a Pave Chiro account, or post a Job Listing on the Site, you agree that this Agreement and all of Pave Chiro’s policies, including the Pave Chiro Privacy Policy and Cookie Policy, apply to you and to the Job Seekers indicating an interest in such Job Listings.  Specifically, when you create a Pave Chiro account, Pave Chiro may require that you verify your identity through a third party service. You also agree that, as a service to Job Seekers, Pave Chiro may activate its PC Apply relay function for use in connection with such Job Listing, and that any Job Seekers who wish to indicate an interest in such Job Listing may only do so through PC Apply, and that Pave Chiro will send applications to the email address you provide us with. When you use the PC Apply relay function, you acknowledge and agree that Pave Chiro may add certain functions into the email, which allows you to take actions regarding the Job Seeker including setting up an interview, viewing a resume and rejecting a candidate, and that you consent to Pave Chiro monitoring and analyzing these actions. When using the PC Apply function, Pave Chiro will attempt to send applications to the contact information provided to Pave Chiro by you, the Employer. Pave Chiro has no ability to verify the contact information provided by you. In the event you provide incorrect contact information, it shall be your responsibility to correct, appropriately respond, or take any steps necessary to protect the privacy of such Job Seekers, and you indemnify Pave Chiro for any damages resulting therefrom. In addition, Pave Chiro may, on your behalf, send out reminder emails to Job Seekers you wish to interview. Pave Chiro may also send emails to Job Seekers on your behalf indicating that your Job Listing is potentially a match for the Job Seeker’s resume. Pave Chiro is not responsible for the content of your emails, application form, screener questions or their format, and disclaims all liability for such content, including as to whether such content is legal. Pave Chiro further does not guarantee delivery, your receipt of the Job Seeker’s emails or application materials, or that there will be no mistakes in the transmission or storage of the data. In the event a message being sent is intended for a closed account, these messages will not be deliverable.  You further acknowledge that Pave Chiro has no discretion in the transmission or storage of these or all other rejection notifications (which is purely mechanical), and that transmission or storage is not guaranteed. You agree that Pave Chiro may take action to try to identify and reduce spam applications, and that one method of doing so may include imposing a cover letter requirement for such applicants. Pave Chiro does not verify the identity of any Job Seekers who apply to your job listing, nor does Pave Chiro know a Job Seeker’s motivation for applying to your job listing, and thus provides no guarantee as to the Job Seeker’s qualifications or interest in your job listing. You agree that PC Apply and Pave Chiro’s relay functions are presented to you without warranty and Pave Chiro assumes no responsibility for the communications between you and the Job Seeker, which communications are yours’ and the Job Seekers’ sole responsibility. If you do not feel comfortable sending a message, including but not limited to an offer letter, to a Job Seeker through Pave Chiro’s relay functions, do not use the Pave Chiro relay functions and please contact the Job Seeker via the personal information provided in such Job Seeker’s resume or application or by whatever method you so choose.  When you respond to or contact a Job Seeker who has used PC Apply, you are providing information to Pave Chiro and requesting and authorizing us to make available such information to the applicable Job Seeker. Additionally, you consent to Job Seekers’ applications and any responses sent by you (including offer letters) through Pave Chiro being processed and analyzed by Pave Chiro according to this Agreement and Pave Chiro’s Privacy Policy. Pave Chiro shall store such information regardless of whether a job vacancy has been filled. You are responsible for the contents of any Career Page that you create, any Job Listings that you post, and any messages that you send through PC Apply or otherwise, including any questions for Job Seekers. You agree that Pave Chiro may reject or remove any Job Listing, any part of any Career Page, or any questions for Job Seekers for any or no reason. You shall indemnify, defend and hold harmless Pave Chiro, its agents, affiliates, and licensors from any third-party claim or liability (including without limitation reasonable legal fees and court costs) arising out of any Career Page created by you, or any Job Listing or screener questions (or answers thereto) posted by you, or any message sent by you (including any questions for Job Seekers contained in any of the foregoing). To the extent permitted by law, if you have an unpaid or outstanding invoice or account balance for any Pave Chiro product, Pave Chiro reserves the right to suspend or terminate your use of that Pave Chiro product as well as any other Pave Chiro product, including but not limited to those Pave Chiro products where you do not have an unpaid invoice or account balance. Pave Chiro may elect to apply (i) penalties for late payment as per contemporaneous US Federal Reserve interest rates plus 10% or the maximum interest rate permitted by law, whichever is lower and (ii) a statutory lump-sum indemnity for recovery cost, if provided for under applicable laws, and (iii) any reasonable expenses and attorney fees Pave Chiro incurs collecting such late payments. 

1(c) If you are an Employer, the agreed upon Finder’s Fee is due to Pave Chiro by the Employer within thirty (30) days of an accepted offer by a Pave Chiro Job Seeker. It is the responsibility of the Employer to notify Pave Chiro of the accepted employment contract within five (5) business days. If an Employer does not report a successful hire from Pave Chiro, the Employer is subject to late fees (as detailed in Section 1(b)). Not only will late fees be applied to the Employer but the Employer account will also be suspended until the correct fees (with interest) have been collected by Pave Chiro.  PAVE CHIRO MUST BE NOTIFIED OF ANY ACCEPTED EMPLOYMENT CONNECTION THAT OCCURS WITHIN FIVE (5) BUSINESS DAYS. The finders fee is due to PaveChiro once the job is accepted by the job seeker in writing. PaveChiro is a platform designed to connect job seekers with employers. This means that the finders fee comes from the job seeker(s) accepting a position within an employer’s place of business. Once the job is accepted by the job seeker – our objective has been completed and the finders fee is due within thirty (30) days. The finders fee is non-refundable. PaveChiro is not responsible for the completion of a contract by any job seeker that has accepted a job offer or any actions that the job seeker may do that would violate their contract or make their contract null and void; this includes, but is not limited to, failure to complete/passing of board exams, resigning from their position, being terminated by the employer, breaking any local, state, or federal laws, lying on their application, or not completing their probationary training. If the job seeker is no longer in employment by the employer, once the invoice becomes due – the finders fee must still be paid as there was a written job acceptance. Pavechiro claims no responsibility for the job seeker once the job acceptance has occurred. If an invoice is sent to an employer before a job is accepted by a job seeker – please let PaveChiro know as soon as possible. An invoice is only valid once a job has been accepted and a contract has been signed between the job seeker and employer. 

1(d) If you are a Job Seeker, it is your responsibility to notify Pave Chiro of the accepted employment contract within five (5) business days of accepting your position. Upon notice of employment, a full refund of the Job Seeker’s enrollment fee will be reimbursed to the Job Seeker’s account within thirty (30) days. If the Job Seeker does not report a successful hire from Pave Chiro within five (5) business days of accepting the position, it is up the discretion of Pave Chiro as to whether or not the reimbursement will be given. REIMBUREMENT TO THE JOB SEEKER IS NOT GUARANTEED IF PAVE CHIRO IS NOT NOTIFIED WITHIN THE TIMELINE LISTED ABOVE.

 1(d) Regardless of whether you are an Employer or Job Seeker, when you view, send, store or receive materials (including Job Listings, resumes, and messages) through or while using the Site, Pave Chiro may, for example, use such materials for data analysis, quality control, or to refine the Site or any other Pave Chiro product or service (including to provide better search results and other listings for Job Seekers and Employers), whether via automated means or otherwise. When an Employer views, sends, stores or receives materials through or while using the Site, Pave Chiro may also inform a Job Seeker that an Employer has taken an action with regards to a Job Seeker’s application such as opening the Resume or application, viewing the application, responding to the application, and making a decision with regards to the application, and you hereby consent to Pave Chiro taking such actions. Pave Chiro assumes no responsibility, and disclaims all liability, for the content, accuracy, completeness, legality, reliability, or availability of any job listing, Career Page, job solicitation, resume information you post, send or receive through the Site. If you see any inaccuracy in any such material, it is your responsibility to correct such information or to contact Pave Chiro to do so.

1(d) Regardless of whether you are an Employer or Job Seeker, Pave Chiro may use application materials (including resumes) and the recency of your activity on Pave Chiro to determine whether the words of any Job Seeker’s resume match the words of a Job Listing or Resume query, and vice-versa. Regardless of whether you are an Employer or Job Seeker, you agree and consent that Pave Chiro may differentiate those matching resumes from those that do not match, and present them to Employers as matches or not matches. Pave Chiro may also use such information in order to improve the Site or any other Pave Chiro product or service (including by displaying or otherwise making available potentially relevant Job Listings and resumes to Job Seekers and Employers).

1(e) Regardless of whether you are an Employer or Job Seeker, Pave Chiro may provide certain types of career-related or hiring-related information on its Site. All information contained in any Pave Chiro career or hiring guide is for informational purposes only, and is in no way to be construed as professional career counseling or staffing services. You understand that Pave Chiro may give suggestions or information regarding best-practices, however, you understand that it is ultimately your responsibility to determine how to pursue your job search or candidate search. You further understand that in providing any such career or hiring guides, Pave Chiro is not acting as a job placement agency or staffing firm. You also understand that by referring to or using such career or hiring guides, you are not guaranteed job interviews, job placement, assurance of being hired, job candidates, or hires, and you take full responsibility for use of these services or guides. As a user of the Site, Pave Chiro may, from time to time, send you emails from the career or hiring guides as part of its services to you. These emails may include but not be limited to, tips on improving your resume or how to use your resume effectively in the job application process, commonly asked interview questions, next steps after you have submitted an application, and how to prepare for a new job after you have been hired.

1(f) If you are a Job Seeker, please note that Pave Chiro may automatically send you recommended jobs via the email address you use to create an Pave Chiro account or apply to a job. Pave Chiro may determine what these recommended jobs are on the basis of a variety of factors, including but not limited to, any information you input on the Site about yourself, searches you run on the Site, jobs you click on, jobs you apply to, or the materials you provide in a job application to an Employer through Pave Chiro.

1(g) Regardless of whether you are a Job Seeker or an Employer, any emails or email notifications corresponding with any activity on or use of the Site through PC Apply or any other communications service, product, or feature provided on or through the Site, are provided solely as a courtesy. Pave Chiro disclaims all warranties with regards to the transmission or storage of such courtesy notices, does not guarantee their delivery or receipt, and does not guarantee the date or time at which they may be sent. In the event a message being sent is intended for a closed account, these messages will not be deliverable. Further, if you are an Employer and you posted a Job Listing directly on Pave Chiro, applications are sent only to your Pave Chiro dashboard; any other notifications you may receive are provided solely as a courtesy to you. 

1(h) Pave Chiro may offer beta test products or features on our Site. You will know that a product or feature is offered on a beta or test basis because the product name or feature will have the word “beta.” These beta test products or features may be offered in limited quantities, in limited locations, and for a limited time. Pave Chiro may discontinue or cancel all or part of a beta product or feature at anytime without prior notice to you.  ANY BETA PRODUCT OR FEATURE IS IN TESTING PHASE AND IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, MAY CONTAIN DEFECTS, AND A PRIMARY PURPOSE OF THIS BETA TEST IS TO OBTAIN FEEDBACK ON THE PRODUCT PERFORMANCE. YOU ARE ADVISED TO SAFEGUARD IMPORTANT DATA, TO USE CAUTION AND NOT RELY IN ANY WAY ON THE CORRECT FUNCTIONING OR PERFORMANCE OF THE BETA PRODUCT AND/OR APCOMPANYING MATERIALS. If you are an Employer and have been invited to test a beta product or feature, you agree that, unless otherwise specifically provided herein or agreed by Pave Chiro in writing, any beta product or feature and any documentation provided corresponding with a beta product or feature constitute confidential proprietary information of Pave Chiro. You shall permit only authorized users, who possess rightfully obtained access to any beta product or functionality, access to the beta product or functionality or any corresponding documentation. You agree not to transfer, copy, disclose, provide or otherwise make available such confidential information in any form to any third party without the prior written consent of Pave Chiro.

1(i) Some Pave Chiro products may offer an e-signature option. This e-signing option is offered through Docusign, and Pave Chiro disclaims all warranties associated with it, including but not limited to any errors associated with the software or the validity of the signature. Your use of the e-signature option is at your own risk. Regardless of whether you are an Employer or Job Seeker, it is your responsibility to follow-up with the Employer or Job Seeker to ensure that they received your communication, including the offer letter. Pave Chiro is not your record keeper, to the extent the law requires you to retain a copy of the offer letter, it is your responsibility to retain such copy.

2. External Sites

The Site contains links to other sites on the Internet which are owned and/or operated by third-party vendors and other third parties (the “External Sites”). You acknowledge that Pave Chiro is not responsible or liable for any such third parties or for the availability of, or the materials located on or through, any External Sites. You should contact the site administrator or webmaster for the applicable External Site if you have any concerns regarding such links or the materials located on an External Site.

In addition, Pave Chiro may provide you with links to certain third-party sites that offer you services for your use or benefit. We may stop offering any such third-party sites or services at any time. If you choose to use such third-party sites or services, you enter into an agreement with such third party alone at your own risk. When entering into an agreement with such parties, you are giving them your data directly and your rights and their obligations are determined by their privacy policies and terms of service. We are not responsible for any content or services provided by these third-parties, and disclaim all liability from anything that may occur when you utilize such third parties. We are additionally not responsible for any payment that may be asked of you by such third party. You will be notified on the site that these are third party sites and services, and not Pave Chiro.

3. Use of Site

You are not permitted to use Pave Chiro’s Site or its content other than for non-commercial purposes. Use of any automated system or software, whether operated by a third party or otherwise, to extract data from the Site (such as screen scraping or crawling) is prohibited. Pave Chiro reserves the right to take such action as it considers necessary, including issuing legal proceedings without further notice, in relation to any unauthorized use of the Site. If you wish to make commercial use of the Site, if you wish to make use of the Site in any capacity other than that of a Jobseeker or Employer, or if you wish to purchase Chiropractic Connection services that utilize the Site, you must have a prior written agreement with Pave Chiro to do so, or have accepted Pave Chiro online terms of service. Please contact us for more information. We reserve the right at all times (but will not have any obligation) to terminate users, and reclaim usernames or URLs, for any reason.

4. User Content

Some parts of the Site may allow users to post Job Listings, resumes, information, text, images, audio, video, messages, and other materials (any such materials that a user submits, posts, displays, or otherwise makes available on or through the Site, or any materials that a user submits to Pave Chiro, where it is stated that such materials may be posted on the Site, are referred to herein as “User Content”). Such functionality is designed to help users obtain career and company information, facilitate communication, discuss ways to make career decisions, and to let users know of jobs. User Content is provided by third-party contributors, many of whom may use anonymous screen names. User Content may be inaccurate, incomplete, misleading or deceptive. For example, the Site hosts Company Pages, which allow User Content to be posted by individuals that may not be affiliated with the Company who owns the Company Page. Pave Chiro does not endorse and is not responsible for any User Content, including any opinion, advice, information, or statement contained therein. Certain elements of Pave Chiro job search results pages may appear to be content produced by Pave Chiro, but are actually a reproduction of user-generated search queries. You acknowledge that by accessing the Site, you may come into contact with content (including User Content) that you find harmful, offensive, threatening, indecent or objectionable, including, but not limited to, explicit language and other potentially offensive material, and you acknowledge that Pave Chiro shall have no liability with respect to such content.

You must not post any User Content that is unlawful, fraudulent, discriminatory, threatening, abusive, libelous, defamatory, obscene or otherwise objectionable, or that contains sexual, ethnic, racial or other discriminating slurs, or that contains no relevant or constructive content. You must also not post any User Content that contains proprietary information, trade secrets, confidential information, advertisements, solicitations, chain letters, pyramid schemes, investment opportunities, or other unsolicited commercial communication (except as otherwise expressly permitted by us in writing), or encourages or causes spamming or flooding.

You are prohibited from posting any User Content containing official identification information (whether your own or of another person), such as social security number, passport number, national identification number, insurance number, driver’s license number, immigration number, or any other similar number, code, or identifier. Posting such identification information may lead to identity theft and other adverse consequences. Pave Chiro may remove any such identification information, but does not undertake any obligation to do so, and has no responsibility and disclaims all liability for any posting of such identification information. Pave Chiro reserves the right to change the display of resume on its Site, including, but not limited to, hiding fields, rearranging its format, and changing visual elements.

Although Pave Chiro has no obligation to do so, Pave Chiro may monitor User Content, and reserves the right to delete any User Content or portion thereof that, in Pave Chiro’s sole discretion, violates the above rules, including any User Content that is unrelated to the specific portion of the Site on which it is posted, or that is an advertisement, recruiting or other commercial message, or that Pave Chiro deems in its sole discretion to be inappropriate. If you believe that any User Content violates this Agreement or our policies, please contact Pave Chiro immediately so that we may have the opportunity to consider its removal. For clarity, Pave Chiro does not have any obligation to remove any User Content, and the interpretation of whether any User Content violates any Pave Chiro policy will always remain within the sole discretion of Pave Chiro.

Pave Chiro reserves the right to disclose all User Content and other relevant information, and the circumstances surrounding their transmission, to any third party in connection with operating the Site; to protect itself, its affiliates, its partners and its visitors; and to comply with legal obligations or governmental requests. This means, for example, that Pave Chiro may honor subpoenas, search warrants, law enforcement or court-mandated requests to reveal a user’s electronic address and identity, or other properly requested information. As an Employer, when you post a Job Listing on Pave Chiro that you choose to list as confidential, your identity may be discoverable by request from the government or law enforcement.

Without limiting the generality of the foregoing, Pave Chiro reserves the right (but is under no obligation) to remove any Job Listing that directly or indirectly discriminates against Job Seekers. Direct discrimination means, for example, that a Job Listing specifically makes clear that only Job Seekers matching a certain criteria are wanted, thereby excluding others because of, for example, their gender, race, age or disability. Indirect discrimination means, for example, that a Job Listing implicitly excludes certain classes of Job Seekers by making it impossible for them to qualify for the job requirements. You understand and agree that it is your responsibility to refrain from posting any Job Listing that directly or indirectly discriminate against Job Seekers or otherwise violate applicable law.

Please note: Section 230 of the U.S. Communications Decency Act provides that:

(1) Treatment of publisher or speaker

No provider or user of an interactive computer service shall be treated as the publisher or speaker of any information provided by another information content provider.

(2) Civil liability

No provider or user of an interactive computer service shall be held liable on account of-

(A) any action voluntarily taken in good faith to restrict access to or availability of material that the provider or user considers to be obscene, lewd, lascivious, filthy, excessively violent, harassing, or otherwise objectionable, whether or not such material is constitutionally protected; or

(B) any action taken to enable or make available to information content providers or others the technical means to restrict access to material described in paragraph (1).

5. License to User Content and Feedback

Only to the extent permitted by law, you grant Pave Chiro a nonexclusive, worldwide, perpetual, (revocable only as described below), fully paid, royalty-free, transferable, sublicensable (through multiple layers of sub-licensees) right and license to make, use, sell, sublicense, reproduce, distribute, perform, display, prepare derivative works from and otherwise exploit all User Content you post or submit, for the purpose of publishing material on the Pave Chiro website or its publisher partners, maintaining the Pave Chiro website and promoting Pave Chiro without restriction. Furthermore, you grant to Pave Chiro, its affiliates, and sublicensees a license to use your name, user name, and/or trademarks and logos in connection with (i) any such User Content, (ii) any Pave Chiro marketing materials containing or incorporating such User Content, or (iii) any actions by Pave Chiro to promote or publicize such User Content (e.g. Job Listings), including the use of keywords in third-party internet search engines. Notwithstanding the foregoing, to the extent any Employer(s) submits photographs to Pave Chiro for association with a particular Job Listing, Pave Chiro shall not post such content anywhere other than the Employer(s)’s Job Listing.

You represent and warrant that: (i) you own the User Content that you submit, post, display, or otherwise make available on or through the Site, or that you otherwise have the right to grant the license set forth in this section, (ii) such User Content, and its submission, posting, display or availability on or through the Site does not violate applicable law or the privacy rights, publicity rights, copyrights, contract rights, intellectual property rights or any other rights of any person or entity, and (iii) such submission, posting, display or availability on or through the Site does not result in any breach of contract between you and any third party. You agree to pay for all royalties, fees, damages, and any other monies owed to any person or entity by reason of such User Content. You agree to defend, indemnify and hold harmless Pave Chiro and its affiliates from any claims resulting from any such User Content. If you wish to request to revoke the license granted by you in this Section for any such User Content, please send a certified letter of request to the postal address listed on our site with a copy of your passport or national identity card (for identity verification purposes) and request removal of such User Content. Your certified letter of request must include (a) the signature of the applicable rights holder for such User Content or a person authorized to act on behalf of the rights holder; (b) identification of the User Content for which the license is to be revoked, and information reasonably sufficient to allow Pave Chiro to locate and remove such User Content on the Site; (c) your name, address, telephone number, and email address; (d) a statement that you have a good faith belief that you are the rights holder or authorized by the rights holder to revoke the license for the designated User Content; and (e) a statement that the information in the request is accurate, and under penalty of perjury, that you are the rights holder or are authorized to act on behalf of the rights holder with respect to such User Content. At your discretion, you may provide feedback and related materials to Pave Chiro concerning the functionality and performance of the Site from time to time, including, without limitation, identifying potential errors, improvements, modifications, bug fixes, or enhancements (“Feedback”). If you, through your evaluation or otherwise, provide any Feedback, you hereby grant to Pave Chiro a nonexclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable (through multiple layers of sublicensees) right and license to make, use, sell, sublicense, reproduce, distribute, perform, display, prepare derivative works from and otherwise exploit all such Feedback for any purpose without restriction. You agree that Pave Chiro may disclose any or all Feedback to any third party in any manner, and you agree that Pave Chiro may sublicense any or all Feedback in any form to any third party without restriction. By providing any Feedback, you agree that your provision of such Feedback is gratuitous, unsolicited and without restriction, and will not place Pave Chiro under any fiduciary, confidentiality or other obligation, and that we are free to use such Feedback without any additional compensation to you, and free to disclose such Feedback on a non-confidential basis or otherwise to anyone. You further acknowledge that, by accepting any Feedback, Pave Chiro does not waive any rights to use similar or related ideas previously known to Pave Chiro, or developed by its employees, or obtained from sources other than you.

6. Site Rules

You agree not to access (or attempt to access) the Site by any means other than through the interface that is provided by Pave Chiro, unless you have been specifically allowed to do so in a separate, written agreement with Pave Chiro. You agree that you will not engage in any activity that interferes with or disrupts the Site (or the servers and networks which are connected to the Site). Unless you have been specifically permitted to do so in a separate, written agreement with Pave Chiro, you agree that you will not crawl, scrape, reproduce, duplicate, copy, sell, trade or resell the Site for any purpose. You agree that you are solely responsible for (and that Pave Chiro has no responsibility or liability to you or to any third party for) any breach of your obligations under this Agreement and for any consequences (including any loss or damage which Pave Chiro may suffer) of any such breach.

You agree that you shall not transmit to Pave Chiro or upload to or through the Site (whether as User Content or otherwise) any Harmful Code, or use or misappropriate the Site for your own commercial gain. “Harmful Code” shall mean any software (sometimes referred to as “viruses,” “worms,” “Trojan horses,” “time bombs,” “time locks,” “drop dead devices,” “traps,” “aPCess codes,” “cancelbots” or “trap door devices”) that: (a) is designed to damage, disrupt, disable, harm, impair, interfere with, intercept, expropriate or otherwise impede in any manner, any data, storage media, program, system, equipment or communication, based on any event, including for example but not limited to (i) exceeding a number of copies, (ii) exceeding a number of users, (iii) passage of a period of time, (iv) advancement to a particular date or other numeral, or (v) use of a certain feature; or (b) would enable an unauthorized person to cause such result; or (c) would enable an unauthorized person to access another person’s information without such other person’s knowledge and permission. Without limiting the foregoing and by way of example only, users may not:

  • Generate or facilitate unsolicited commercial email (“spam”). Such activity includes, but is not limited to:
    • sending messages in violation of the CAN-SPAM Act under U.S. law or any other applicable anti-spam law;
    • imitating or impersonating another person or his, her or its email address, or creating false accounts for the purpose of sending spam;
    • data mining any Pave Chiro property;
    • sending messages to users who have asked not to be contacted;
    • selling, exchanging or distributing to a third party the contact information of any person without such person’s knowledge of, and continued consent to, such disclosure; and
  • Send, upload, distribute or disseminate any unlawful, defamatory, harassing, abusive, fraudulent, infringing, obscene, or otherwise objectionable content, or offer to do the same. Pave Chiro may block the transmission of such content.
  • Intentionally distribute viruses, worms, defects, Trojan horses, corrupted files, hoaxes, or any other Harmful Code or items of a destructive or deceptive nature.
  • Conduct or forward pyramid schemes or similar programs.
  • Transmit content that may be harmful to minors.
  • Impersonate another person (via the use of an email address or otherwise) or otherwise misrepresent yourself or the source of any email.
  • Transmit another’s intellectual property or other proprietary or confidential information without such owner’s or licensor’s permission. Users who repeatedly post intellectual property owned by others will be banned from Pave Chiro.
  • Violate the legal rights (such as rights of privacy and publicity) of others.
  • Promote or encourage illegal activity.
  • Interfere with other Pave Chiro users’ enjoyment of the Site.
  • Create multiple user accounts in connection with any violation of the Agreement or create user accounts by automated means or under false or fraudulent pretenses.
  • Sell, trade, resell or otherwise exploit for any unauthorized commercial purpose, or transfer, any Pave Chiro account.
  • Modify, adapt, translate, or reverse engineer any portion of the Site.
  • Remove any copyright, trademark or other proprietary rights notices contained in or on the Site.
  • Reformat or frame any portion of the web pages that are part of the Site without Pave Chiro’s explicit written permission.
  • Contact other Pave Chiro users about multi-level marketing (MLM) programs, jobs that require payment to start, or any topics Pave Chiro considers detrimental to its users.
  • Create multiple Pave Chiro accounts without permission.
  • Create multiple Pave Chiro accounts not under your corporate or company name, in order to attempt to achieve higher visibility in the free-to-post system.
  • Bypass any limitations or suspensions of functionality.
  • Provide false information.
  • Scrape the Pave Chiro Resume database
  • Scrape or otherwise replicate any Pave Chiro content for competitive purposes

Pave Chiro reserves the right to use any User Content (including the content of messages or material sent through or to the Site or Pave Chiro) to prevent potentially illegal or tortious activities, or any other activities that are detrimental to other users. Pave Chiro reserves the right to use a variety of methods to detect and block the above anomalous activity and to screen User Content to prevent abuse such as spam or fraud. However, such detection methods are not perfect and false positives may occur. If you use the Site, you agree to Pave Chiro enforcing the above rules or attempting to prevent spam, fraud, or other anomalous activity. Such measures may result in a temporary or permanent suspension or termination of your account or of your use of any other functions of the Site, with or without notice. Pave Chiro shall not be responsible or liable for any such suspension or termination, including any consequences thereof.

Pave Chiro reserves the right to drop any message with an .ade, .adp, .bat, .chm, .cmd, .com, .cpl, .exe, .hta, .ins, .isp, .jar, .jse, .lib, .lnk, .mde, .msc, .msp, .mst, .pif, .scr, .sct, .shb, .sys, .vb, .vbe, .vbs, .vxd, .wsc, .wsf, .wsh, or .zip attachment for any or no reason. Pave Chiro further reserves the right to conduct investigations to determine whether you are perpetrating a scam, spamming Pave Chiro or its users, or otherwise conducting fraudulent activity on Pave Chiro by various means, including but not limited to investigating your functionality by setting up profiles and names that belong to Pave Chiro. Pave Chiro reserves the right to turn over any information gathered via such investigations to the police or other third party if Pave Chiro has a good faith belief that you are using the Site in violation of these terms.

7. Registration; Contact Information

Some areas of the Site, including areas that may permit you to set up a Pave Chiro account, require you to register or provide an email address. If you so register, you agree to (a) provide true, accurate, current and complete information about yourself as prompted by our registration form (including your email address) and (b) be responsible for the confidentiality and use of your username and password, and not transfer or resell your use of or access to the Site to any third party. Please note that any individuals with whom you have shared your username and password and who are able to answer verification questions about your Pave Chiro account may receive access to information regarding your Pave Chiro account. If you are an Employer, your account is for business use and not for personal use.  Pave Chiro is not responsible and disclaims all liability if your email is used improperly or falsely by a third party. By registering for a Pave Chiro account, you agree to receive mandatory email updates regarding anomalous activity to your Pave Chiro account. If you attempt to send an email from a name or email address that is not true, accurate, current or complete, we reserve the right to drop such email, and attempting to send such email is a violation of our terms.

We reserve the right at all times (but will not have an obligation) to terminate users or to reclaim usernames or URLs.

You agree that Pave Chiro may, as part of its services to you, communicate with you, or initiate communication with you on behalf of a third party, through your Pave Chiro account or through other means such as email, telephone, or postal mail, including through the use of contact information that you may provide to Pave Chiro or that Pave Chiro may otherwise obtain from third-party sources. 

8. Disclaimer of Warranties

Pave Chiro disclaims any and all responsibility or liability for the accuracy, content, completeness, legality, reliability, operability or availability of information or material displayed in or linked from the Pave Chiro search results (including Jobs Listings) or otherwise made available on the Site by Pave Chiro or third parties (including User Content). Pave Chiro disclaims any responsibility or liability for the accuracy, content, completeness or reliability of information provided by Pave Chiro for informational purposes only, including but not limited to, Pave Chiro Analytics data like estimated applies or organic traffic, and salary information. You acknowledge you are not paying Pave Chiro for the aforementioned information. Pave Chiro disclaims any responsibility for the deletion, failure to store, mis-delivery, or untimely delivery of any information, emails, attachments or material (including User Content). Pave Chiro further disclaims any responsibility for any harm resulting from downloading or accessing any information or material on the Site or on other sites or services on the Internet accessed through the Site. Under no circumstances shall Pave Chiro be liable to you or any third party on account of your use or misuse of or reliance on the Site. Additionally, under no circumstances shall Pave Chiro be liable to you or any third party on account of your use or misuse of or reliance on any third party site or service you link to from Pave Chiro’s Site.

Without limiting the foregoing, under no circumstances shall Pave Chiro, its affiliates, or their third-party licensors, be liable for any delay or failure in performance resulting directly or indirectly from acts of nature, forces, or causes beyond its or their reasonable control, including, without limitation, Internet failures, computer equipment failures, telecommunication equipment failures, other equipment failures, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, fires, floods, storms, explosions, acts of God, war, governmental actions, orders of domestic or foreign courts or tribunals, non-performance of third parties, or loss of or fluctuations in heat, light, or air conditioning.

10. Claims of Infringement

U.S. Copyright Infringement. The Digital Millennium Copyright Act of 1998 (the “DMCA“) provides recourse for copyright owners who believe that material appearing on the Internet infringes their rights under U.S. copyright law. 11. Governing Law and Dispute Resolution

If you are a Job Seeker: this Agreement and any dispute arising out of or in connection with this Agreement or related in any way to the Site (“Dispute”) will be governed as to all matters, including, but not limited to the validity, construction and performance of this Agreement, by and under the laws of the State of Tennessee, United States of America. Any and all actions, lawsuits, or other legal proceedings related to such Dispute shall be filed only in courts located in Davidson County, Tennessee, U.S.A. Each of the Parties hereby consents to the exclusive personal jurisdiction of the federal or state courts located in Davidson County, Tennessee, U.S.A.

You also hereby waive any right to a jury trial in connection with any action or litigation in any way arising out of or related to your use of the Site or these terms of service.

If you are an Employer: this Agreement and any Dispute arising out of or in connection with this Agreement or related in any way to the Site will be governed as to all matters, including, but not limited to the validity, construction and performance of this Agreement, by and under the laws of the State of Tennessee, United States of America. Any and all actions, lawsuits, or other legal proceedings related to such Dispute shall be filed in courted located in Davidson County, Tennessee, U.S.A.

If you are neither a Job Seeker nor Employer as defined in this Agreement and are not using the Site as intended by Pave Chiro, this Agreement will be governed as to all matters, including, but not limited to the validity, construction and performance of this Agreement, by and under the laws of Davidson County, Tennessee, U.S.A.

You agree to waive your right to file a pre-suit discovery proceeding seeking a user’s identifying information from Pave Chiro. If you intend to propound discovery seeking user information from Pave Chiro, you agree to do so pursuant to a valid federal, Tennessee or Tennessee domesticated request, addressed to and properly served at our registered agent in Tennessee at Pave Chiro, 8078 TN 100, Nashville, TN 37221. You further agree to submit to the personal jurisdiction of the appropriate Tennessee state or federal courts for such discovery proceedings.

If any actions are taken including an action at law or in equity to enforce or interpret the provisions of the use of the Site, the party which successfully takes such actions (and in the case of an action at law or inequity, the prevailing party in same) shall be awarded its attorneys’ fees and costs (including expert fees) incurred.

12. Class Action Waiver

By using the Site and in return for the services offered by Pave Chiro, you acknowledge that Pave Chiro can only offer you these services under the terms and conditions as presented herein. As partial consideration for your use of the Site and these services, you (either an Employer or Job Seeker) agree not to sue Pave Chiro as a class plaintiff or class representative, join as a class member, or participate as an adverse party in any way in a class-action lawsuit against Pave Chiro regarding your use of the Site. Additionally, as a Job Seeker, your use of the Site is at a discounted fee and you acknowledge that part of the price you are paying to use this Site is your acceptance of these terms of service including this Class Action Waiver. If you do not agree to any part of these terms, do not continue your use of the Site. Nothing in this paragraph, however, limits your rights to bring a lawsuit as an individual plaintiff, including in small claims court, subject to section 11 above.

13. Severability and Reformation

Each provision of this Agreement is a separately enforceable provision. If any provision of this Agreement is determined to be or becomes unenforceable or illegal, such provision shall be reformed to the minimum extent necessary for this Agreement to remain in effect in accordance with its terms as modified by such reformation. The unenforceability or invalidity of any provision shall not affect any other provision of this Agreement, and this Agreement shall continue in full force and effect, and be construed and enforced, as if such provision had not been included, or had been modified as above provided, as the case may be.

15. Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes and replaces all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. Any waiver of any provision of this Agreement will be effective only if in writing and signed by Pave Chiro. This Agreement, together with any amendments, and any additional agreements you may enter into with Pave Chiro in connection with the Site, shall constitute the entire agreement between you and Pave Chiro concerning the Site. If any provision of this Agreement is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect. You agree that this Agreement cannot be altered, amended, modified or overridden, except by a document signed by an authorized representative of each party. For the avoidance of doubt, email or phone communication between you and a Pave Chiro employee shall not constitute an amendment or alteration of this Agreement.

By accessing or using the Site, you signify your assent to this Agreement and agree to comply with all applicable laws and regulations, including U.S. export and re-export control laws and regulations, copyright laws and other laws regarding intellectual property. You represent, warrant and covenant that you are not (a) located in, or a resident or a national of, any country subject to a U.S. government embargo or other restriction, or that has been designated by the U.S. government as a “terrorist supporting” country; (b) on any of the U.S. government lists of restricted end users. The materials on the Site are provided with “Restricted Rights.” Use, duplication, or disclosure by the Government is subject to restrictions as set forth in applicable laws and regulations. Use of the materials by the Government constitutes acknowledgment of Pave Chiro’s proprietary rights in them.

You understand and acknowledge that Pave Chiro or its affiliates, or its or their licensors, owns all right title and interest to the Site and all proprietary rights associated therewith. Pave Chiro reserves all rights not specifically granted herein. You shall not modify any copyright notices, proprietary legends, any trademark and service mark attributions, any patent markings, or other indicia of ownership on the materials accessed through the Site, other than your User Content. Any use of materials or descriptions, any derivative use of the Site or its materials, and any use of data mining, robots, or similar data gathering and extraction tools is strictly prohibited. In no event may you frame any portion of the Site or any materials contained therein.

Any notices to Pave Chiro must be sent to Pave Chiro via certified first class or air mail or overnight courier, are deemed given upon receipt. Notice to you may be affected by sending email to the email address specified in your account, or by posting a message to your account interface, and is deemed received when sent (for email) or no more than fifteen (15) days after having been posted.

You may not assign or delegate any of your rights or obligations hereunder without Pave Chiro’s prior written consent and any such attempt is void. Pave Chiro may freely assign or delegate its rights and obligations hereunder without notice to you. Additionally, Pave Chiro may assign any agreement between you and Pave Chiro to any related Pave Chiro entity by informing you of such assignment. Pave Chiro and you are not legal partners or agents but are independent contractors.

15. Requirements of Site Users

1 (a) The Site is not for use by anyone under the age of 18. To use the Site you agree that you must be the minimum age or older. The minimum age for these purposes shall be 18, however if local laws require that you must be older in order for Pave Chiro to lawfully provide the services in the Site to you then that older age shall apply as the applicable minimum age. If you are under the age of 18 or the age of majority in your jurisdiction, you must use Pave Chiro under the supervision of your parent, legal guardian or responsible adult. Pave Chiro adopts a range of measures to try to ensure that we do not accept individuals who do not meet the minimum age and any other applicable age requirements. 

1 (b) For an Employer to create an account with Pave Chiro they must be an employee or representative from a chiropractic office, located within the United States of America seeking the hire at least one (1) licensed or soon to be licensed Doctor of Chiropractic to fill the position of an associate Doctor of Chiropractic position within the office. All other uses of the Employer Portal are strictly prohibited. Any Employer profiles created under any other condition must have written consent from Pave Chiro. Any Employer Portal created that does not abide by the above written terms are strictly prohibited. If an Employer Portal is found to not be abiding the terms written above, the portal will permanently be terminated from Pave Chiro and the user will no longer have access to Pave Chiro. Any Employer Portal found to be in violation of these terms is not eligible for any refund on fees collected by Pave Chiro. 

1(c) For a Job Seeker to create an account with Pave Chiro they must either be (1) currently enrolled in or (2) graduated from an accredited Chiropractic School located within the United States of America. All other uses of a Job Seeker Profile are strictly prohibited. Any Job Seeker Profile created under any other condition must have written consent from Pave Chiro. Any Job Seeker Profile created that does not abide by the above written terms is strictly prohibited. If a Job Seeker Profile does not abide to the terms written above, the profile will immediately be permanently be terminated from Pave Chiro and the user will no longer have access to Pave Chiro. Any Job Seeker Profile found to be in violation of these terms is not eligible for any refund on fees collected by Pave Chiro. 

1 (d)  Any appeal to any of the above written Requirements for Users may be completed by contacting Pave Chiro directly. If any user believes they were removed by Pave Chiro for a reason that is untrue, an appeal may be made the Pave Chiro. Once Pave Chiro is notified of such situation, Pave Chiro will assess the situation and the user in question will be asked to provide the proper documentation to regain access to his/her Pave Chiro account. It is the ultimate decision of Pave Chiro whether a user will be regain access to their Pave Chiro account. All decisions made by Pave Chiro after an appeal is made are final.

In particular, this Privacy Policy details our collection, use and disclosure of personal and non-personal data you give to Pave Chiro when you access or use Pave Chiro’s online platform.  This platform is provided by Pave Chiro in connection with  the services  on our websites (collectively, the “Platform” or the “Site”).

1.1 The Pave Chiro Entities Responsible for Your Information

All references to Job Seeker and Employer are defined as provided for in the Pave Chiro Terms of Service. 

With respect to Job Seekers, for the purposes of this Privacy Policy, “Pave Chiro” or “we” means Pave Chiro, LLC. 

1.2 Personal Data and Non-Personal Data

Personal data (“Personal Data”) refers to any information that relates to an identified or identifiable individual, and non-personal data (“Non-Personal Data”) refers to any information that does not identify you as a specific individual. Please note that at all times Pave Chiro will adhere to the applicable statutory definition in determining what is and is not Personal Data for the purposes of this Privacy Policy. Where this Privacy Policy refers to “information” or “your information” this may include both Personal and Non-Personal Data.

1.3 The Scope of Pave Chiro’s Privacy Policy

This Privacy Policy covers only data that we collect through the Site, and not any other data collection or processing, including, without limitation, the data collection practices of any affiliate or other third party.

2. Information Collected

You provide different types of information in order for Pave Chiro to provide our services, products and features to you.

2.1 Information You Provide to Pave Chiro

– From Your Account

We collect data from you when you create a Pave Chiro account, request information, subscribe  to a service, participate in a survey, post a rating or review, post a question or answer, post a resume, upload content or otherwise actively send us data on our Platform. This may include, but is not limited to, your user name, password, first and last name, email address, telephone number (including mobile phone number), street address, gender, interests, and any other data included in a submitted profile or resume, including but not limited to application materials and answers you give to any questionnaires sent to you, which you answer.

– Through Your Activity on Pave Chiro:

In addition, as part of the standard operation of the Site, Pave Chiro may collect and analyze information from your computer or mobile device and actions taken on the Site, including, but not limited to, your resume, your searches on Pave Chiro, the titles of jobs you search, click on or apply to, where those jobs are located, salary interest or experience, the general salary range, your activity time on the Platform and each page, page views, clicks, taps, session activity, browser type, operating system, type of device, MAC address, IP address and the domain name from which you accessed the Site. Pave Chiro seeks your consent at the time of such provision, and such processing will only be performed where consent is secured. 

– When Providing Employer Information

If you are an Employer, Pave Chiro may request that you provide certain Personal Data to Pave Chiro in order to verify your account. This information may include, but may not be limited to, your Federal Employer Identification Number (EIN), your most current Chiropractic License Number, Business Registration information, or a utility bill, the name and email address of an Employer representative.

This information will be used for internal purposes only, subject to any request by law enforcement or a court order. In connection with chargeable services, we will also collect payment information (e.g., the last four digits of credit card numbers and related verification information). Please note that Pave Chiro only has access to the last four digits of Employer credit card numbers, and does not store full credit card numbers.

2.2 Storage of Your Information

Pave Chiro shall retain users’ Personal Data to the extent such retention is adequate, relevant and limited to what is necessary for the purposes for which they are processed. In particular, Pave Chiro shall not retain Personal Data for any longer than necessary for the purposes of performing the processing outlined in this Privacy Policy.

If you create a Pave Chiro account, your information may be collected and stored in a manner that connects to your account email address. Pave Chiro may also create and assign to your device an identifier that is similar to an account number. We may collect the name you have associated with your device, device type, telephone number, country, and any other information you choose to provide, such as user name, email address, or zip code. The collection of this data is solely used in accordance with the purposes outlined in sections 4, 5 and 9 of this Privacy Policy, to the extent applicable.

Pave Chiro may also store the information detailed in this section 2 of the Privacy Policy on its equipment or the equipment of third parties that Pave Chiro has a relationship with. Such storage services will be governed by appropriate protections, as required by applicable rules.

2.3 What Personal Data is Required

Pave Chiro will indicate to you at the point of provision as to whether or not particular Personal Data provided by you is required in order to provide particular Pave Chiro services or features to you. Where Personal Data that is required is not provided by you then the particular feature or service may not be available to you.

2.6 The Legal Basis on Which Pave Chiro Collects Your Personal Data

Pave Chiro collects and processes your Personal Data on the basis of different legal grounds, depending on the nature of the Personal Data being provided and the type of processing involved. More information is provided on this here.

– Performance of a Contract

Some of the Personal Data processed by Pave Chiro is  required on the basis that it is necessary for the performance of our agreement with you, or in order to take steps at the request of the user prior to entering such an agreement. An example of this would be where Pave Chiro sends a Job Seeker’s application to an Employer.

– Legitimate Interest

A second ground relied upon by Pave Chiro for other types of processing of your Personal Data is that it is necessary for  the legitimate interests  of Pave Chiro. Such legitimate interests will include where Pave Chiro sends you marketing about our products and services, where we believe you have a reasonable expectation that we will perform a particular type of processing on your behalf, or where such processing is strictly necessary for fraud detection and prevention. Pave Chiro will only rely on such a ground where an assessment has been performed balancing the interests and rights involved and the necessity of the processing in order to provide our services, products and features to you.

– Compliance with a Legal Obligation

A third ground relied upon for certain types of processing are that it is necessary in order to allow Pave Chiro to comply with a legal obligation. An example of this would be where Pave Chiro is required to retain business records for fixed periods of time in order to comply with local legal requirements.

– Consent

Finally, in certain limited situations, Pave Chiro relies on your consent in order to process your Personal Data. Where Pave Chiro requires your consent in order to collect and process certain Personal Data, we seek your consent at the time of provision, and such processing will only be performed where consent is secured. You can withdraw your consent, as detailed in section 11 of this Privacy Policy where applicable, or by sending an email to team @ pavechiro.com (remove spaces when sending email).

3. Limitation of Use or Disclosure of Personal Data

3.1 Where a Job Seeker Wants to Close a Job Seeker Account

When a Job Seeker closes an account, the Job Seeker will no longer have access to any of the data we make available under that account name, including but not limited to, search history, job search preferences, saved jobs, jobs the Job Seeker has applied to, job alerts, resume posting, and any other data associated with the account. If the Job Seeker uses the same email address to set up a new account, this data from a previous account will not become available to the Job Seeker again. Please also note that closing your Job Seeker account may result in you losing access to all Pave Chiro products.

Pave Chiro reserves the right to keep any materials in a closed account as necessary to preserve and protect its rights to the extent permitted by law (for example, to preserve records of a dispute) or to comply with its obligations under local law (for example, if requested to retain by law enforcement). A closed account does not mean that all of the data is expunged from the Pave Chiro systems, although it will not be readily available under the Job Seeker’s original account name. When the Job Seeker presses the close account button on the dashboard or when a the Job Seeker is successfully hired by an Employer on the Pave Chiro platform, Pave Chiro will begin to process that instruction within 24 hours and will have completed the operation within 40 days. Once Pave Chiro is notified of a hire, the Job Seeker’s page will immediately become deactivated.

If a Job Seeker wishes to access or delete their Personal Data held by Pave Chiro, they should follow the steps listed in section 10 of this Privacy Policy, and such a request will be processed in accordance with applicable rules.

3.2 Where an Employer Wants to Close an Employer Account

Employers may close an account at any time by contacting Pave Chiro Customer Support. Please note that Pave Chiro must preserve business records pertaining to that account to comply with its obligations under law. Alternatively, if an Employer wishes to access or delete their Personal Data held by Pave Chiro, they should follow the steps listed in section 10 of this Privacy Policy, and such a request will be processed in accordance with applicable rules.

3.3 Where a Job Seeker Wants to Delete a Job Application

If a Job Seeker wants to delete a job application performed on Pave Chiro’s platform, they are advised to contact the prospective Employer directly to request deletion of their application. For job applications which you, the Job Seeker submit through Pave Chiro (including the use of an Pave Chiro Apply button) to an Employer, (with related materials submitted), please note: 1) that your applications and materials may be controlled by an Employer; 2) we may direct you to that Employer for Personal Data deletion requests where that Personal Data is held by that Employer; and 3) Pave Chiro depends on the Employer or the Employer’s agent to provide Pave Chiro with the correct destination for all applications; 4) Pave Chiro is not liable for any Employers actions with personal information after submission by us at your request.  Any such claim should be directed to the particular employer.

3.4 Where the Employer Contact Details Provided to Pave Chiro Are Incorrect

In the event that the electronic destination provided to Pave Chiro is incorrect, your application materials will not be sent to the intended recipient of the application. Pave Chiro has no liability for such applications. If you do not wish to send your application materials in this manner, you should send them directly to the Employer.

3.5 Minimum Age of our Users

The Site is not for use by anyone under the age of 18. However, if local laws require that you must be older in order for Pave Chiro to lawfully provide the services in the Site to you then that older age shall apply as the applicable minimum age. 

4. Purposes, Uses and Disclosures of Information

We may use any information collected pursuant to this Privacy Policy, including Personal Data, for the purposes set forth in this sections 4, 5 and 9 of this Privacy Policy, to the extent applicable. Pave Chiro uses such information to help Job Seekers find jobs and to help Employers find candidates. In order to do this we use your Personal Data to: provide our services, products and features to you, to help Job Seekers find jobs and Employers find candidates, to measure and improve those services, products and features; and to protect our users and provide them with customer support.

More detail on these purposes, uses and disclosures of your information is set out below.

4.1 Creating an Account, Sending You Job Alerts and Other Promotional Materials

If and to the extent permitted by applicable law, Pave Chiro may use your contact information to (i) create an account; (ii) send you job alerts; and (iii) send you information about Pave Chiro, including promotional materials. Pave Chiro may use third-party partners to perform these activities on Pave Chiro’s behalf.

Pave Chiro may also share your information with third parties (including operators of third-party websites and/or social networking sites) in order to show you targeted advertisements and other content that has been customized for you. Such advertisements will only relate to Pave Chiro’s services, products, and features, all of which focus on helping Job Seekers find jobs and Employers find candidates. If you wish to opt out of receiving any marketing messages from Pave Chiro please see section 11 of this Privacy Policy.

4.2 Giving You Relevant Search Results and Recommended Jobs

In order to optimize our services, products and features for you, Pave Chiro may use your previous search and browsing history (e.g. the jobs you click on), or application materials and answers to screener questions, to identify you and determine relevant search results and provide you with recommended jobs or reach out to you about jobs you may be interested in. We may also use demographic and/or profile data to tailor your experience on the Site, to show you content that Pave Chiro thinks you may be interested in, and display content according to your preferences. Pave Chiro may return different results for the same search query and has full discretion with respect to the job listings it presents in response to any particular search.

4.3 Your Contact Information

When you give Pave Chiro contact information (such as your name and email address) and other forms of Personal and Non-Personal Data, you agree that Pave Chiro may utilize this information for the purposes outlined in sections 4, 5 and 9, to the extent applicable. In particular, you agree that Pave Chiro may, as part of its services to you, communicate with you, or initiate communication with you on behalf of a third party, through your Pave Chiro account or through other means such as email, telephone (including mobile phone), or postal mail, including through the use of contact information that you may provide to Pave Chiro or that Pave Chiro may otherwise obtain from third-party resources.

4.4 Your Resume Information

Your information, including Personal Data,  is placed on the Site when you submit a resume. Pave Chiro reserves the right to charge third parties a fee for accessing your information, including Personal Data, as part of Pave Chiro’s services. At your direction, Pave Chiro may also send your resume to third parties if you choose to apply for a job listing. The extent to which your information is made available to third parties depends on the privacy settings you choose on Pave Chiro, in accordance with this Privacy Policy.

4.5 Preventing Fraud and Spam

Pave Chiro may also use information collected pursuant to this Privacy Policy to help diagnose problems with the Platform and Pave Chiro’s service, to prevent potentially fraudulent or illegal activities, and to protect individuals from other activities that may be detrimental to you or others. Pave Chiro may investigate and disclose information from or about you or your use of Pave Chiro if we have a good faith belief that such investigation or disclosure (a) is reasonably necessary to comply with legal process (including subpoenas, search warrants, court orders) and law enforcement instructions and orders; (b) is helpful to prevent, investigate, or identify possible wrongdoing in connection with the use of the Site; (c) may protect our rights, reputation, property, safety, or that of the public; or (d) as necessary to meet national security requirements.

We may use a variety of methods to detect and address anomalous activity and screen content to prevent abuse such as spam or fraud. However, such detection methods are not perfect and false positives may occur. These efforts may on occasion result in a temporary or permanent suspension or termination of some functions for some users.

4.6 Facilitating Payment

If you provide credit, debit or other payment card information and related details to us in order to make a payment, Pave Chiro will use such information only for the purpose of processing the payment (e.g., the last four digits of credit card numbers and related verification information). Any credit card and related billing and payment information that you provide to Pave Chiro may be shared by Pave Chiro with companies who work on Pave Chiro’s behalf, such as payment processors and/or credit agencies, solely for the purposes of checking credit, effecting payment to Pave Chiro and servicing your account.

4.7 Transfer of Information to Third Parties

– Transfers to Employers

Pave Chiro sends Personal Data to Employers to which a Job Seeker applies and as described in sections 2 and 4 of this Privacy Policy. Such Personal Data will be processed in accordance with these terms and those of the relevant Employer. 

Employer account holders agree to comply with all their responsibilities under applicable data protection rules with respect to the collection, processing and storage of Personal Data, as well as providing adequate protection of all data subject rights provided for under all applicable data protection rules.  Pave Chiro is not liable for any Employer’s failure to adequately protect this data.

– Transfers to Service Providers and Vendors

We may use third parties to perform services in connection with our operations, to improve the Site and our services, products, and features, to protect our users and better understand their needs, and to optimize the services and the users’ experiences. These third parties may include (but are not limited to) service providers and vendors.

These third parties may provide data points including how much time you spend on specific pages, which links you choose to click, and data that helps determine user preferences. This information enables us to build and maintain our services with user feedback. These third parties may use cookies and other technologies to collect data on your behavior and devices such as the device type, browser information, and preferred language. 

Pave Chiro may transfer your Personal Data in limited situations to certain third-party vendors that assist Pave Chiro with protecting our users and maintaining the quality of our services, products and features provided to those users. An example would be vendors Pave Chiro uses for fraud detection purposes. 

Pave Chiro may also share any credit card and related billing and payment information that you provide to Pave Chiro with companies who work on Pave Chiro’s behalf, such as payment processors and/or credit agencies, solely for the purposes of checking credit, effecting payment to Pave Chiro and servicing your account. 

– Transfers to Cloud Service Providers

Please also be aware that we may also use third-party cloud service providers that provide hosting, data storage and other services pursuant to standard terms and conditions that may be nonnegotiable; these service providers have informed us or the general public that they apply security measures they consider adequate for the protection of information within their system, or they have a general reputation for applying such measures. However, we will not be liable (to the fullest extent permitted by law) for any damages that may result from the misuse of any information, including Personal Data, by these companies.

6. Security

Pave Chiro seeks to use reasonable security measures to help protect against the loss, misuse and alteration of the Personal Data under Pave Chiro’s control.
